Terms of Service

These Terms of Service ("Terms") govern access to and use of services provided by PROJET Hub OÜ ("PROJET", "we", "us", "our"), a private limited company registered in Estonia, including all wholesale distribution services, partner communications, and the SMS messaging program described below. By engaging in a commercial relationship with PROJET or by participating in our SMS communications program, you accept and agree to be bound by these Terms.

2. Wholesale Partnership Agreements

Specific commercial relationships (pricing, exclusivity territories, minimum order quantities, payment terms, sponsorship arrangements) are governed by individual signed dealer agreements between PROJET and each partner. These Terms apply in conjunction with and do not replace such agreements. In the event of conflict, the signed dealer agreement prevails for the matters it specifically addresses.

3. SMS Communications Program

3.1 Program Description

The PROJET Wholesale Partner Communications program ("Program") provides two-way SMS messaging services to our authorized partners. Messages relate to wholesale account management, including but not limited to: order confirmations, design approval requests, production status updates, shipment notifications, restock alerts, dealer pricing communications, new product releases, sponsorship coordination, and ongoing trade dialogue. PROJET does not send marketing broadcasts; all messages are account-specific and partner-targeted.

3.2 Eligibility for the SMS Program

Participation in the Program is restricted to recipients who have provided affirmative consent through one of three documented mechanisms:

3.3 Message Frequency

Message frequency varies based on your wholesale account activity, partner-initiated inquiries, and operational events affecting your orders. Typical volume is 0–10 messages per partner per week. PROJET does not send broadcast bulk messages to its partner list; communications are conversational and account-specific.

3.4 Costs

Message and data rates may apply. Standard rates from your mobile service provider apply to messages sent and received under this Program. Check with your wireless carrier for details on your messaging plan. PROJET does not charge any additional fee to participate in the Program.

3.5 Opt-In

By providing your mobile phone number to PROJET via the online dealer application form at https://projet-hub.com/dealer-application, by signing a paper or PDF dealer agreement that contains Section 7 (Communications consent), or by texting our designated number first, you consent to receive SMS communications under this Program. You may also opt-in by replying with the keyword START, YES, SUBSCRIBE, BEGIN, or JOIN to a PROJET number.

The opt-in CTA mechanisms are publicly documented at https://projet-hub.com/dealer-application, where both the live online form and a representative sample of the paper dealer agreement consent clause are hosted for verification.

3.6 Opt-Out — Reply STOP

You may opt-out of the Program at any time by replying STOP, STOPALL, UNSUBSCRIBE, CANCEL, END, or QUIT to any message you receive from PROJET. Opt-out is processed automatically and confirmed with a final message: "PROJET: You are unsubscribed and will receive no further wholesale communications. Reply START to re-subscribe." After opt-out, no further messages will be sent under this Program. You can re-subscribe at any time by replying START.

3.7 Help — Reply HELP

For assistance, reply HELP to any message you receive from PROJET. You will receive an automated response with support contact information. You may also contact us directly at [email protected] or your assigned account manager.

3.8 Carrier Disclaimer

Wireless carriers are not liable for delayed or undelivered messages. Service availability and message delivery are not guaranteed and may be affected by network congestion, device limitations, geographic factors, or other conditions outside the control of PROJET or its service providers. T-Mobile, AT&T, Verizon, and other US and international wireless carriers are not responsible for messages sent or received through this Program.

3.9 Privacy of SMS Data — strict no-sharing policy

Your phone number, message content, and metadata related to the Program are handled in accordance with our Privacy Policy (see Section 4 of the Privacy Policy for the SMS-specific compliance section).

PROJET does NOT share, rent, sell, lease, or otherwise transfer mobile phone numbers, SMS opt-in data, SMS message content, or any data collected for the SMS Program to any third party for marketing or promotional purposes — under any circumstances. The only third party that handles SMS-related data is Twilio Inc. (US), our SMS service provider, which processes SMS solely for the technical purpose of message delivery on our behalf.

All content on this website, including the PROJET name, logo, trademarks, copy, graphics, and design, is the property of PROJET Hub OÜ or used under license. Trident Sportswear product imagery and trademarks are the property of Trident Sportswear and used by PROJET as authorized distributor. No content may be reproduced, distributed, or used commercially without prior written consent.

6. Modification of Services

PROJET reserves the right to modify, suspend, or discontinue any service, including the SMS Program, at any time, with or without notice. Continued use of services after modifications constitutes acceptance of the changes. Material changes affecting the SMS Program will be communicated to active participants in advance where practicable.

7. Termination

PROJET may terminate or suspend your participation in any service, including the SMS Program, immediately and without notice if you breach these Terms, your dealer agreement, or applicable law. You may terminate your participation in the SMS Program at any time by replying STOP. Termination of the SMS Program does not terminate your underlying dealer agreement or commercial relationship.

8. Disclaimer of Warranties

Services are provided "as is" and "as available" without warranties of any kind, express or implied, including but not limited to merchantability, fitness for a particular purpose, or non-infringement. PROJET does not warrant uninterrupted or error-free service.

9. Limitation of Liability

To the maximum extent permitted by applicable law, PROJET, its directors, employees, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising from your use of or inability to use our services or the SMS Program. Total aggregate liability under any cause of action shall not exceed the amount paid by you to PROJET in the twelve (12) months preceding the claim, or one hundred euros (€100), whichever is greater.

10. Governing Law and Dispute Resolution

These Terms are governed by the laws of the Republic of Estonia, without regard to conflict-of-law principles. Any dispute arising from or related to these Terms or any PROJET service shall be resolved exclusively in the courts of Tallinn, Estonia, unless the parties agree in writing to alternative dispute resolution. Nothing in this clause limits any consumer protection rights that may apply under mandatory law in your jurisdiction.

11. Changes to These Terms

We may update these Terms from time to time. The revised version will be posted at this URL with an updated "Last updated" date. Material changes will be communicated to active partners via email. Continued use of services after the effective date of changes constitutes acceptance.

12. Severability

If any provision of these Terms is held invalid or unenforceable, the remaining provisions remain in full force and effect. Invalid provisions shall be replaced by enforceable provisions that most closely reflect the original intent.
